Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and State Wide Leads LLC (“State Wide Leads,” “SWL,” “we,” “us,” or “our”), a Wyoming limited liability company, governing your access to and use of the website located at statewideleads.com and all associated subdomains, pages, features, and services (collectively, the “Platform”).

By accessing or using the Platform in any manner — including by browsing, submitting a request form, clicking “I Agree,” or otherwise engaging with any feature of the Platform — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms in their entirety, you must immediately cease all access to and use of the Platform.

You represent and warrant that you are at least eighteen (18) years of age, have the legal capacity to enter into a binding contract, and are not barred from using the Platform under applicable law. By using the Platform on behalf of any organization or business, you further represent that you are authorized to bind that entity to these Terms.

2. Description of Services

State Wide Leads operates a consumer-to-business marketing and matching platform that connects individuals seeking local services (“Consumers”) with independent businesses and service providers (“Partners”) who may be able to fulfill those requests.

State Wide Leads is not a service provider, contractor, insurance carrier, insurance agency, broker, or professional services firm of any kind. We do not provide home improvement services, insurance products, financial services, legal services, medical services, or any other consumer service directly. We are solely a marketing and lead distribution platform. Our role is limited to facilitating introductions between Consumers and potential Partners.

When you submit a request through the Platform, State Wide Leads may share your contact information and request details with one or more Partners who operate independently of State Wide Leads. Any service agreement, transaction, or relationship you enter into is solely between you and the applicable Partner.

State Wide Leads reserves the right to modify, suspend, or discontinue all or any portion of the Platform at any time, with or without notice, and shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

3. Consumer Submissions

When you submit a service request form or any other inquiry through the Platform, you acknowledge and agree to the following:

1. Accuracy of Information. You represent and warrant that all information you provide — including your name, address, phone number, email address, and description of your service needs — is accurate, current, and complete. You agree not to submit false, misleading, or fraudulent information.
2. Express Written Consent to Contact. By submitting a request form, you provide your express written consent, as defined by the Telephone Consumer Protection Act (TCPA) and applicable state laws, for State Wide Leads and its Partner network to contact you using the phone number(s) and email address(es) you provide. This may include contact via automated telephone dialing systems, prerecorded voice messages, SMS/text messages, and email. Standard message and data rates may apply. You are not required to provide this consent as a condition of purchasing any property, goods, or services.
3. Personal and Non-Commercial Use. You represent that any service request you submit relates to a personal, household, or legitimate business need and that you are the intended recipient or authorized representative of the recipient for the services you are requesting.
4. No Obligation to Engage. Submitting a request through the Platform does not obligate you to hire, retain, or otherwise engage any Partner who contacts you. You retain the right to decline any quote, proposal, or service offer from any Partner.
5. Opt-Out Rights. You may opt out of further communications from State Wide Leads at any time by following the unsubscribe instructions in any email communication, by replying STOP to any text message, or by contacting us directly at contact@statewideleads.com. Opt-out requests to State Wide Leads do not automatically apply to communications from independent Partners who have already received your information; you must contact those Partners separately.

4. No Guarantee of Services

State Wide Leads makes no guarantee, representation, or warranty of any kind regarding the availability, quality, timeliness, or outcome of any services you may request through the Platform. Specifically, and without limitation:

1. No Guarantee of Contact. State Wide Leads does not guarantee that any Partner will contact you in response to your submitted request, or that any Partner will be available to service your geographic area or specific needs.
2. No Guarantee of Match Quality. State Wide Leads does not guarantee that any Partner presented to you is the best available option for your needs, is licensed or certified to perform the requested services in your jurisdiction, or is otherwise qualified to perform those services.
3. No Guarantee of Satisfactory Performance. State Wide Leads does not guarantee that any services performed by a Partner will be performed to your satisfaction, will be completed within any specified timeframe, or will conform to any representation made by the Partner.
4. No Guarantee of Pricing. Any pricing information, estimates, or ranges that may appear on the Platform are provided for general informational purposes only and do not constitute a binding quote or offer. Actual pricing is determined solely by each individual Partner.

5. Independent Businesses

All Partners accessible through or connected via the Platform are independent businesses and are not employees, agents, representatives, joint venturers, or franchisees of State Wide Leads. State Wide Leads exercises no control over Partners and is not responsible for the conduct, acts, omissions, representations, warranties, or negligence of any Partner.

State Wide Leads expressly disclaims any and all liability arising from or related to:

• The quality, safety, legality, or fitness for purpose of any services performed by a Partner;
• Any acts or omissions of a Partner, including negligence, fraud, misconduct, breach of contract, or violation of applicable law;
• Any property damage, personal injury, financial loss, or other harm caused by a Partner;
• A Partner’s failure to obtain or maintain required licenses, permits, certifications, bonds, or insurance;
• Any dispute between you and a Partner regarding services rendered, billing, pricing, warranties, or any other matter.

You acknowledge that any agreement you enter into with a Partner is solely between you and that Partner, and that State Wide Leads is not a party to any such agreement. You agree to look solely to the applicable Partner for any remedy arising out of services provided.

6. User Conduct

As a condition of using the Platform, you agree that you will not, and will not permit others to:

• Submit false, inaccurate, misleading, or fraudulent information in any form, request, or communication on the Platform;
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity;
• Use automated means, including bots, scrapers, crawlers, or scripts, to access, collect, or interact with the Platform without our express prior written consent;
• Submit fictitious, duplicate, or test requests for the purpose of generating leads without genuine intent to obtain the requested service;
• Use the Platform for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation;
• Transmit any unsolicited commercial email (spam) or other unsolicited communications to other users or Partners;
• Attempt to gain unauthorized access to any portion of the Platform, its servers, databases, or systems, or to any accounts belonging to other users;
• Interfere with or disrupt the integrity, security, or performance of the Platform, or introduce any virus, malware, or other harmful code;
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform or its content for commercial purposes without our express prior written consent;
• Engage in any conduct that, in our sole discretion, restricts or inhibits any other person from using or enjoying the Platform, or which may expose State Wide Leads or its users to any harm or liability.

State Wide Leads reserves the right to investigate suspected violations of these Terms and to suspend or terminate access to the Platform for any user found to be in violation, without notice and without liability.

7. Intellectual Property

The Platform and all content, features, and functionality thereon — including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, software, and the selection and arrangement thereof — are the exclusive property of State Wide Leads LLC or its licensors and are protected by United States and international copyright, trademark, trade secret, patent, and other intellectual property laws.

The “State Wide Leads” name, logo, and all related marks, trade dress, and domain names are trademarks or service marks of State Wide Leads LLC. You may not use any such marks without our express prior written permission.

Subject to your compliance with these Terms, State Wide Leads grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use. This license does not include:

• Any resale or commercial use of the Platform or its content;
• Any collection or use of product listings, descriptions, or prices for the benefit of another business;
• Any derivative use of the Platform or its content;
• Any downloading, copying, or use of account information for the benefit of any third party.

Any unauthorized use terminates the permission or license granted by State Wide Leads. All rights not expressly granted herein are reserved.

8. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, SERVICES, AND FEATURES THEREON ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, State Wide Leads expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:

• Any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement;
• Any warranty that the Platform will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components;
• Any warranty regarding the accuracy, reliability, completeness, or timeliness of any content or information available on or through the Platform;
• Any warranty that the Platform will meet your requirements or that results obtained from using the Platform will be accurate or reliable;
• Any warranty regarding the quality, safety, or suitability of any Partner or the services they may provide.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full. In such jurisdictions, the implied warranties are limited to the greatest extent permitted by applicable law.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STATE WIDE LEADS LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND.

This limitation includes, without limitation, damages for loss of profits, revenue, goodwill, data, business, or other intangible losses, arising out of or in connection with: (a) your access to or use of, or inability to access or use, the Platform; (b) any conduct or content of any third party on the Platform, including any Partner; (c) any services obtained through the Platform; or (d) unauthorized access, use, or alteration of your transmissions or content — even if State Wide Leads has been advised of the possibility of such damages and even if any limited remedy set forth herein is found to have failed its essential purpose.

In no event shall the aggregate liability of State Wide Leads LLC to you for all claims arising out of or relating to these Terms or your use of the Platform exceed the greater of: (i) one hundred dollars ($100.00); or (ii) the total amount, if any, paid by you to State Wide Leads in the six (6) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you in full.

10. Indemnification

You agree to defend, indemnify, and hold harmless State Wide Leads LLC and its members, managers, officers, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation;
• Your use or misuse of the Platform, including any submission, request, or communication you make through the Platform;
• Any false, inaccurate, or misleading information you provide through the Platform;
• Any dispute between you and any Partner arising from services requested or obtained through the Platform;
• Your infringement of any intellectual property, privacy, or other rights of any third party.

State Wide Leads reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with State Wide Leads in asserting any available defenses.

11. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information through the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your personal information as described in our Privacy Policy.

You acknowledge that when you submit a service request, your contact information and request details may be shared with Partners in our network who may be able to assist you. Please review our Privacy Policy to understand how your information is collected, used, and shared.

12. Governing Law

These Terms and any dispute or claim arising out of or relating to these Terms, the Platform, or your use thereof — including any non-contractual disputes or claims — shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles.

Subject to the Dispute Resolution section below, you agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts of competent jurisdiction located in Sheridan County, Wyoming, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

ANY CAUSE OF ACTION YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE SUCH CAUSE OF ACTION IS PERMANENTLY BARRED. This limitation does not apply where prohibited by law.

13. Dispute Resolution

Informal Resolution. Before initiating any formal legal proceeding, you agree to first contact State Wide Leads at contact@statewideleads.com and provide a written description of the dispute, your name and contact information, and the relief you are seeking. We will attempt to resolve the dispute informally within thirty (30) days of receipt of your notice.

Binding Arbitration. If the dispute is not resolved informally within thirty (30) days, you and State Wide Leads agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall be resolved by binding arbitration administered by a recognized arbitration organization under its then-current rules, except as provided below. The arbitration shall take place in Sheridan County, Wyoming, or by remote means if mutually agreed. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. YOU AND STATE WIDE LEADS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and State Wide Leads agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.

Exceptions. Notwithstanding the foregoing, either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration, without waiving the right to arbitrate the underlying dispute. Nothing in this section shall prevent State Wide Leads from pursuing collection of unpaid amounts owed.

14. Changes to Terms

State Wide Leads reserves the right to modify, amend, or update these Terms at any time in its sole discretion. When we make changes, we will update the “Last Updated” date at the top of this page. In some cases, we may provide additional notice, such as by posting a notice on the Platform or sending an email to the address associated with your most recent submission.

Your continued access to or use of the Platform after any such changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease all use of the Platform immediately. We encourage you to review these Terms periodically to stay informed of any updates.
